What Investment Bankers Can do for You

When the owner of an ambulatory center makes the decision to sell a center, the process quickly escalates into perhaps the single largest financial transaction of their life.

Dallas, Texas, July 05, 2014 - When the owner of an ambulatory center makes the decision to sell a center, the process quickly escalates into perhaps the single largest financial transaction of their life. With so many moving parts involved and so much at stake, it is important for an owner to have someone on their side who can guide the sale in the right direction. That someone would be an investment banker.

Bringing to the table experience, a network of contacts and knowledge of the market, an investment banker is essential to these types of deals being executed successfully.

In an article published by The Ambulatory M&A Advisor, experts Roger Strode of Foley & Lardner, LLP, Blayne Rush, President of Ambulatory Alliances, LLC, Kyle Bohannon, Executive Vice President of Strategy and Development at FastMed Urgent Care, and Kevin Ryan of Epstein, Becker and Green weigh in on the matter.

“[Investment bankers] will help you understand your business as the investor sees it and work with you to be prepared to tell your story and explain any risks,” explained Rush. “When buyers or investors believe that you are prepared and understand your business, they are more likely to take you seriously, believe what you are telling them and increase the purchase price and improve the terms they offer.”

Pain Management In-Office Procedures Decline with Reimbursement Rates

The proper business management of an Pain Management Center will be the key to success going forward, according to industry professionals.

Dallas, Texas, July 05, 2014 - In an article published by The Ambulatory M&A Advisor, Dr. Rudi Gari of Texas Pain Relief Group weighs in on the matter, noting that physician-owners of Pain Management Centers need to keep the business side of their practice in mind, even if it doesn’t come second nature.

“Physicians are typically not the best business people,” Gari said. “You may be the best doctor the world has ever known, but if you don’t know how to manage your finances and manage your office, you’re not going to have an office to practice in.”

This emphasis on business is a result of declining reimbursement rates, according to Dr. Al Liceaga, Medical Director of Orangewood Surgical Center and Regional Pain Treatment Medical Center.

“ASCs reimbursement for procedures are often paid on only one CPT code and global fees now limit payment and reduce access to care by not allowing reimbursement for certain procedures within the global time period,” he said. “Reimbursement for hardware and implants has dramatically changed also. The majority of implants are now inclusive of the global fee.”

These changes in reimbursement rates had a noticeable impact on in-office procedures, with higher costs causing a reduction in such procedures.

A Look at Due Diligence in Ambulatory Care Center Transactions

With mergers and acquisitions (M&A) activity in ambulatory care increasing over the last year

Dallas, Texas, July 05, 2014 - With mergers and acquisitions (M&A) activity in ambulatory care increasing over the last year, the significance of doing the right due diligence for a practice cannot be over-emphasized.

In an article published on The Ambulatory M&A Advisor, healthcare attorneys and consultants give insight into the financial, legal and clinical aspects of due diligence and the best ways to approach each.

Experts Michael Schaff, attorney and chair of the Corporate & Health Care Departments at Wilentz, Goldman & Spitzer, Bill Horton, an Alabama-based partner and health care attorney with the Jones Walker law firm, and Roger Strode, a partner and health care attorney with the Chicago office of Foley & Lardner, LLP, all give advice for those seeking information about these areas of due diligence.

Schaff’s advice for potential sellers: “Before you negotiate a price, do appropriate due diligence on yourself so you are prepared for what the buyers will ask and you know where your ‘skeletons’ may be. Sometimes smaller companies don’t have the internal resources to dot every ‘i’ or cross every ‘t’. There are many potential traps for the unwary, and surprises pop up in the middle of the process” which can result in a buyer reducing his offered price.

Nutrition Breakthroughs Announces 'Joints and More' for Healthy Joints, Energy, More

According to the U.S. Census Bureau, arthritis is the #1 cause of disability among adults. The ingredients in 'Joints and More' have been proven to provide natural joint relief, relief for allergies, increased energy and more.

Glendale, CA, July 04, 2014 - An estimated 50 million U.S. adults (about 1 of 5) have doctor-diagnosed arthritis. According to the U.S. Census Bureau, arthritis is the #1 cause of disability among adults. It is defined as painful inflammation, aching, stiffness and swelling in or around the joints. Arthritis can occur in any joint, but usually it affects the hands, knees, hips, neck or spine. Common limitations from arthritis include difficulty with climbing stairs, walking, lifting, reaching, bending or kneeling.

NutritionBreakthroughs.com of Glendale California is announcing their newest product called 'Joints and More', which contains a natural form of sulfur known as MSM. According to research studies, MSM is known to help joint symptoms, muscle soreness, headaches, allergies, hair growth and more by supporting collagen in the cells and reducing inflammation. Collagen is the main protein in connective tissues. The body's hormones, enzymes and immune system also depend on MSM on a daily basis.

MSM sulfur (methyl-sulphonyl-methane) is a white, odorless, water-soluble element found in nature and in foods such as milk, fresh fruits, vegetables, seafood and meat. Food processing methods such as heating, washing and freezing, all deplete MSM in foods, which makes daily replenishment beneficial. Many people with joint pain may be deficient in MSM. In a 1995 study, sulfur concentration in arthritic cartilage was shown to be about one-third the level of normal cartilage.

The Arthritis Foundation’s web site lists the most common side effects of those medications used to treat arthritis. Nonsteroidal anti-inflammatory drugs such as aspirin and ibuprofen can create edema (swelling of the feet) heartburn, stomach ulcers and possibly increased risk of blood clots and heart attack. Corticosteroids (cortisone) may contribute to cataracts, elevated blood sugar levels, increased appetite and bone loss. Injections at the arthritis site can create redness and swelling and increased risk of infections.

In the breakthrough book called "The Miracle of MSM: The Natural Solution for Pain," Stanley Jacob, M.D., the co-discoverer and 'Father of MSM', and Ronald Lawrence, M.D., share their experiences with successfully treating people with MSM. Together they have treated over 12,000 people with MSM for a variety of conditions at the Oregon Health Sciences University in Portland Oregon.

Dr. Jacob says: "MSM is a surprising supplement. When you start taking it, you may notice a number of good things happening in your life in addition to pain and allergy relief: More energy, cosmetic benefits such as softer skin, thicker hair, stronger nails; decreased scar tissue; and relief of constipation.”

Ellen N. of Littleton, Colorado says: "I had developed painful arthritis in both knees. The orthopedist prescribed physical therapy, knee braces, ibuprofen daily and an eventual surgery. Someone I know who works for a nutritional supplement company offered me a sample of MSM. I started taking it, I began noticing improvement, and this continued. Soon I had the same spring back in my legs just like before all this started. I was feeling major relief. Now I'm walking faster and even climbed on my roof to trim some trees. I feel like a new woman."

In one research study, patients suffering from degenerative arthritis were treated with either 2,250 mg per day of MSM or placebo. Sixteen patients were enrolled in the study. With the MSM group, the researchers reported "A better than 80 percent control of pain within six weeks of beginning the study."

There is no known cure for arthritis. According to Dr. Stanley Jacob, "Steroidal drugs such as cortisone are widely prescribed to reduce the inflammation associated with a wide array of painful conditions. These frequently lead to unhealthy weight gain, high blood pressure and even diabetes.....MSM offers a natural way to reduce pain and inflammation without serious side effects."

Media Interviews Available With Hudson Martin Ferrante Street Witten & June, PC or Echo

Represented by Monterey law firm Hudson Martin Ferrante Street Witten & June, PC, Echo was granted the rare TRO on June 18, 2014, against a former employee who has been accused of stealing valuable trade secrets and pursuing the company's existing customers

Monterey, CA, June 27, 2014 - Under what circumstances may a former employee solicit his former employer’s customers? And can non-solicitation agreements ever be enforceable?

Those questions came closer to being answered in California — a state that rarely permits any action which is seen to inhibit or reduce competition — when a Santa Cruz superior court granted a temporary restraining order against a former employee of Echo Holdings LLC.

Represented by Monterey law firm Hudson Martin Ferrante Street Witten & June, PC, Echo was granted the rare TRO on June 18, 2014, against a former employee who has been accused of stealing valuable trade secrets and pursuing the company's existing customers. Firm partner Amy June argued the case in one of the few states in which non-compete agreements are considered void as against public policy.

The state’s Business and Professions Code section 16600 provides that “Except as provided in this chapter, every contract by which anyone is restrained from engaging in a lawful profession, trade, or business of any kind is to that extent void.” Exceptions to this rule are limited, and focus on the sale of a business or dissolution of a partnership. However, through adoption the Uniform Trade Secrets Act, California also makes it illegal for employees to misappropriate trade secrets from a former employer and to use those trade secrets to solicit customers of the former employer.

Hudson Martin Ferrante Street Witten & June, PC, has long represented One Stop Logistics, Inc., which acquired Echo in May of 2014. June, who argued the matter before Presiding Judge Paul Marigonda, agreed that the ruling was appropriate and necessary to protect the company's interests in the area.

The decision comes on the heels of May’s ruling by Judge James Robertson of the San Francisco Superior Court in the case of Guardsmark v. Bowman.

In that case, Guardsmark, a company that provides security services, won a rare non-compete order against a former manager who had signed an agreement stating that he would refrain from misusing Guardsmark’s confidential information, but who secretly formed a competing security services company, Teton Security Services, Inc., and won a contract to work with a former Guardsmark client.

Judge Robertson ordered a permanent injunction prohibiting Bowman and Teton from contacting or soliciting any of Guardsmark’s current customers in San Francisco and from taking any action to induce any of Guardsmark’s current customers in San Francisco to discontinue service with Guardsmark.

Emerging Singer-Songwriter Roxanna to Release Debut Album Exotica on July 8

"I believe the world is hungry to hear songs about love. Enough about bad romance and hate and war. Music should be easy on the ear."

Hollywood, CA, June 21, 2014- Entering into the music world with a devastating heartbreak, the incomparable Roxanna penned "Unforgotten," a sorrowful but soulful song, threaded with hope for tomorrow. "That song was my therapy," Roxanna notes. "It just poured out of me, and helped me believe all of this happened for a reason."

With the introduction to Exotica, lead single "Close Your Eyes" takes you on a personal journey with its dramatic storyline and emotional lyrics, Roxanna's heartfelt message is strongly emphasized by the elegance of her gorgeous vocals. "There is a light at the end of the tunnel, after every storm there is a rainbow, just an overall hope in the end."

Roxanna believes, "Music should bring pleasure, it should be elegant and relaxing. It's all about friendship, pleasure, romance, love and beauty." Roxanna's world of experience is translated through her passion for music and songwriting. She was born in Iran in the midst of an ongoing war with Iraq. As a child, she turned to music for balance and tranquility, religiously mimicking the English-language songs of Olivia Newton-John.

After traveling the world and experiencing both heartbreak and love, Roxanna has teamed up with the best in the industry to release Exotica, a collection of stories that are universal and inspiring.

Roxanna is determined to craft every song and lyric as relatable to whomever will take a listen with the intention to always spread love and healing through her romantic songs and stories. It was while studying to be a nurse that Roxanna witnessed first hand the healing power of music. Roxanna sang each night to a young man battling cancer. When he was released, the man's father said to her, "My son is better because of the way you sang to him." With that, she realized that music, like medicine is a great healer and it was then hat she realized she needed to pursue signing as a career.

For her full-length album, she contacted well-known producer Mark Portmann credited with working with Julio Iglesias, Barbra Streisand, and Christina Aguilera. It was her rendition of Aguilera's "Lift Me Up" that convinced Portmann to bring Roxanna under his wing. And what spawned from their collaboration was Exotica, a seamless, mastered mix of adult contemporary, classic pop, and world music.

Listening through the album, you'll be taken on a journey of love … from the first moment of flirtation to the confidence you find with everlasting love.

Featuring a string of romantic songs including new renditions of The Hollies 1972 hit song, "The Air That I Breathe," and Lionel Richie's 1984 smash hit, "Hello".

Mountainsong Galleries in Carmel-by-the-Sea, California, is committed to representing more credentialed OPA and AIS Master Artists than any gallery in the entire world. Mountainsong also represents some of the best bronze, glass and furniture artists today.

Background on Alan Wolton
Renowned artist and Sedona resident, Alan Wolton has just returned from Bennington, Vermont, where he was the recipient of the Distinguished Artist of the Year from Oil Painters of America – "OPA."

Already an "OPAM" – recognized as "master painter" by the group, Wolton has had an illustrious career spanning six decades.

Wolton’s work has been accepted by the Royal Academy of London, the Royal Society of British Artists, the Royal Institute of Oil Painters, and the Paris Salon. He has also been a  Master Charter Member of the Society of American Impressionists and a member of Plein Air Painters of Northern California.

His work has been exhibited all over the world, including London, Johannesburg and Paris. His peripatetic nature has led to the creation of powerful art from many beautiful places, including his original South African home, New Zealand and Europe – notably Venice.

An excerpt from the OPA's announcement about the award states, "Alan Wolton is indulging in an artistic freedom brought about by his years of development and the confidence of maturity. Following international recognition, his paintings now show a revised simplicity of statement. Technically, Mr. Wolton´s work is unquestionable. His list of credentials and exhibitions over the years is very impressive."

In his own words Wolton claims, "Generally, I am not too affected by awards but this decision by the Oil Painters of America Masters, notably retiring OPA president Neil Patterson, along with Masters Zhiwei Tu, Charles Movalli and others, has truly touched my heart. The kindness and honor these wonderful folk showered upon me will remain a lifetime high!”

Regarding his work, the artist recently said, "I like my paintings to stop passers-by who had only by accident caught a glimpse of the picture. What they see should be breathtakingly different, delightfully fresh, something emotionally appetizing and a joy. A subconscious visual high spiked by a happy relationship of colors, tones, forms and cleanliness."

The award comes on the heels of the publication of "The Art of Alan Wolton," a 348-page hardbound book which is at once a memoir, a close look at how paintings are made, and a retrospective of a lifetime’s achievement, including more than 400 color images of artworks from every period of the artist’s life. The book is available from Amazon.com, and local residents can find it at the Sedona Public Library.

Oil Painters of America is a not-for-profit organization representing more than 4,000 artists throughout the United States, Canada and Mexico. OPA is dedicated to preserving and promoting excellence in representational art. Its primary focus is to draw attention to the lasting value of fine drawing, color, composition and the appreciation of light on canvas.

The mission of OPA is to advance the cause of traditional, representational fine art by providing a forum in which artists can display their art in regional and national competitions. In addition, the organization is committed to providing educational opportunities to its members through its newsletter, critique program, scholarships, workshops, seminars, and demonstrations by today’s masters.

James Dietz was commissioned by Warner Brothers to do all of the artwork for the promotion of the original Superman movie with Christopher Reeves

There are 12 original paintings that must be sold as an in-tact collection.  Mountainsong Galleries in Carmel-by-the-Sea has the exclusive on this collection available for $90,000-. Mountainsong Galleries in Carmel-by-the-Sea, California, is committed to representing more OPA and AIS credentialed Master Artists than any gallery in the world.

Carmel-by-the-Sea, CA, June 18, 2014 - Mountainsong Galleries on Ocean Avenue in Carmel-by-the-Sea, California is the place to find more of today's OPA and AIS Master Artists than anywhere in the World.  The gallery owners Jonathan and Lucinda Mountainsong have created a friendly, fun upbeat setting filled with contemporary Master Artists, whimsical and dramatic bronze sculptures, stunning glass art and custom wood furniture. Mountainsong represents some of the greatest artists of our time from coast-to-coast.

A historical painting stands or falls on how well it depicts the story it is attempting to illustrate, and how convincingly it combines the people, their actions, costumes, surroundings and atmosphere in an appropriate composition. A good historical painting uses all of these elements to tell the major story and perhaps a second subtext. Both are driven by how interesting the situation is that the artist is attempting to render. How the viewer reacts to a great painting transcends its immediate story and strikes a deeper chord, one that hopefully evolves and changes as the viewer contemplates the art over time.

It is this last and most worthy goal to which artists like James Dietz aspire. In his portrait of events in the 20th and 21st Centuries, he labors to achieve that rare combination of historical fact and the romance, adventure and color of fiction.

Born in San Francisco, Jim graduated from Art Center College of Design in 1969. He had a successful illustration career in Los Angeles and New York, with a steady flow of work ranging from automobile ads, movie posters, and romantic and historical/action book covers.

By 1978, Jim and his wife had moved to Seattle, where Jim’s work gradually shifted away from commercial illustration to primarily historical aviation, automotive and military art. Today his work is internationally known and collected, and his style, with its emphasis on depth of story, is recognized by collectors of historical art. His list of clients includes: Boeing, Bell Helicopter, Federal Express, Allison, Cessna, Flying Tigers, the Indianapolis 500, BMW, the National Guard and many U.S. Army associations: U.S. Army Rangers, 82nd Airborne, 3rd Division, 4th Division, 29th Division, First Division, 1st Cavalry, 11th Cavalry, 28th Division, 41st Division and 37th Division, Command General Staff College, Army War College, US Air Force Documentary Art Program, Wingnut Studios, Meadowbrook and Pebble Beach Concours d’Elegance.

* Awards include:

• Best in Show, EAA Aviation Art Show, three successive years, 1989-91

Jim has been a member of the World War I Aviation Historical Hall of Fame, an Artist Fellow of the American Society of Aviation Artists and a board member of the Automotive Fine Artists of America. He had one-man shows at the Experimental Aircraft Association (EAA) Museum in Oshkosh, Wisconsin in 1990, 1998 and 2003; San Diego Air & Space Museum in 1990; and the US Air Force Museum at Wright Patterson Air Force Base in 2003. His paintings are part of the permanent collections of many military museums around the country, including the Pentagon, the San Diego Air & Space Museum, Pensacola Naval Aviation Museum, Special Forces Museum, 82nd Airborne Museum, and the Smithsonian Air & Space Museum.

In 2001, Barnes & Noble Publishing released a book on Jim’s World War II art, entitled Portraits of Combat. In 2005, Jim fulfilled a childhood dream when he got the opportunity for a cameo role in Peter Jackson’s (Lord of the Rings) remake of King Kong. Jim plays the role of pilot of the Curtis Helldiver aircraft which fires at Kong while he is perched high above New York on the Empire State Building.

Jim and his wife, Patti, live in Seattle with their dog, Sarah, who shares the distinction with previous Dietz pets, of being a regular in Jim’s paintings. Their son, Ian, is currently an officer serving in the U.S. Army. Jim works in a warm, pleasantly cluttered studio that resembles a WWI aviation bar, surrounded by uniforms, props and models that have made their way into paintings over the years.
